Terms of Service

1. Acceptance of the Terms

Use of the R-Set platform implies full acceptance of these Terms. Users who do not wish to accept them must not use the service.

2. Description of the service

R-Set is a B2B quantitative simulation platform that allows companies to:

• Upload financial statements and company registry extracts (visure camerali) so that their economic and financial data can be extracted automatically using artificial intelligence.
• Run forecast, budget and decision-scenario simulations to assess the prospective impact of business decisions on financial indicators and on the prospective credit rating.
• Compare their position with benchmarks of structurally similar companies.

The outputs produced are purely forecasts intended to support decision-making. For details, see section 5.

3. Registration and access

Access to R-Set is by invitation only:

• The user submits an access request, providing accurate information about themselves and the company they belong to.
• The request is assessed by the Owner. If it is approved, an invitation is sent by email with a secure link to complete the registration.
• The user is responsible for keeping their login credentials confidential and for all activity carried out through their account.
• The Owner reserves the right to reject access requests or to suspend accounts in the event of a breach of these Terms, misuse of the service or the provision of untruthful information.

4. Price, invoicing and cancellation

• Price: the fee for access to R-Set is €0 per year per company, excluding VAT where applicable.
• Invoicing: the fee is paid in advance and covers 12 months of access to the service from the activation date.
• Updates: platform updates are included in the fee at no additional cost.
• Cancellation: the user may withdraw from the service at any time, without notice. Fees already paid are not refundable on a pro rata basis, unless otherwise agreed in writing.

5. Nature of the outputs and disclaimer

R-Set is a quantitative simulation tool. The outputs it produces, including estimates of the impact on the prospective credit rating, KPI projections, benchmark comparisons and decision simulations:

• do not constitute financial, tax or legal advice;
• do not constitute an official or certified credit rating and do not replace assessments issued by registered credit rating agencies or by authorised financial intermediaries;
• are neither guaranteed nor error-free: the automatic data extraction and the simulations may contain inaccuracies. The user must check the outputs before taking any operational decision;
• do not replace the judgement of qualified professionals (CFOs, financial advisers, chartered accountants, credit intermediaries), who remain essential for interpreting the data and for taking business decisions.

Use of the outputs is the sole responsibility of the user.

6. User obligations and acceptable use

The user undertakes to:

• Use the service in compliance with applicable law and with these Terms.
• Provide accurate, complete and up-to-date information, in particular when requesting access and when uploading financial documents.
• Not share their credentials with third parties and not allow unauthorised persons to access their account.
• Not attempt to access other users' data or to circumvent the platform's security measures.
• Not use the service for unlawful or fraudulent purposes or in a way that infringes the rights of third parties.
• Not engage in reverse engineering, mass scraping, automated extraction of outputs or exploitation of the AI models beyond the features provided by the platform.

7. Intellectual property

All content, trade marks, logos, code and materials on the platform are the property of Stratosfera S.r.l. or of their respective owners and are protected by intellectual property laws. The data and documents uploaded by the user remain the property of the user or of the company they belong to.

8. Limitation of liability

To the extent permitted by law, Stratosfera S.r.l. shall not be liable for:

• Business, financial or operational decisions taken by the user on the basis of the outputs produced by the platform.
• Inaccuracies or errors in the automatic extraction of data from the uploaded documents or in the simulations generated by the AI models.
• Any discrepancy between the projections and the actual results: the outputs are forecasts and do not guarantee any result.
• Interruptions, temporary unavailability or malfunctions of the platform, without prejudice to the commitment to restore the service within a reasonable time.
• Indirect, incidental or consequential damages arising from the use of, or the inability to use, the service.

9. Account suspension and termination

Stratosfera S.r.l. reserves the right to suspend or terminate the account in the event of:

• A breach of these Terms.
• Improper or fraudulent use of the service.
• The provision of untruthful information or attempts at unauthorised access.
• Failure to pay the fee, where due.

In the event of termination, the user may request the export or deletion of their data as set out in the Privacy Policy.

10. Changes to the Terms

Stratosfera S.r.l. reserves the right to amend these Terms at any time. Changes will be published on this page together with the date of the last update. Continued use of the service after the changes have been published constitutes acceptance of them.

11. Governing law and jurisdiction

These Terms are governed by Italian law. The Court of Milan shall have exclusive jurisdiction over any dispute arising from the interpretation or performance of these Terms, without prejudice to the mandatory jurisdiction of the consumer's court where applicable.
